5. Use of Services

7. Fees and Payment

• Quotations: Fees for services will be provided in a formal quotation prior to the commencement of any work.
• Payment Terms: Payment is due within 30 days of the date of invoice issuance.
• Late Payments: Late payments may incur interest at 4% per annum above the Bank of England base rate, calculated daily from the due date until payment is received in full.

8. Intellectual Property Rights

• Ownership: All intellectual property rights in the deliverables remain with Yalainsights until full payment is received.
• Licence: Upon full payment, we grant you a non-exclusive, non-transferable licence to use the deliverables for your internal business purposes only.
• Restrictions: You shall not reproduce, distribute, or disclose the deliverables to any third parties without our prior written consent.

9. Confidentiality

• Mutual Confidentiality: Both parties agree to keep confidential any proprietary or confidential information received from the other party during the course of the agreement.
• Exceptions: Confidential information does not include information that is publicly available, already known to the receiving party, or required to be disclosed by law.

10. Data Protection

• Compliance: We will process personal data in accordance with our Privacy Policy and all applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.
• Client Responsibility: You are responsible for ensuring that any personal data you provide to us complies with data protection laws, and that you have obtained all necessary consents for us to process such data.

11. Limitation of Liability

• Exclusion of Liability: To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services or these Terms.
• Maximum Liability: Our total liability under these Terms shall not exceed the total fees paid by you for the services in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Yalainsights, its directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising out of your breach of these Terms or your use of the services.

13. Termination

• By Either Party: Either party may terminate the agreement by providing 30 days' written notice to the other party.
• For Breach: We may terminate the agreement immediately upon written notice if you breach any material term of these Terms and fail to remedy the breach within 14 days of receiving notice requiring you to do so.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, pandemics, strikes, or governmental actions.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after any modifications indicates your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Yalainsights regarding the use of our services and supersede all prior agreements and understandings.
